1. Who you’re contracting with

Strudl (“Strudl”, “we”, “us”, “our”) is a product of PlanAheADD Technologies Inc., a Canadian corporation located in Fredericton, New Brunswick, Canada. These Terms & Conditions (“Terms”) form a binding agreement between you and PlanAheADD Technologies Inc. when you use strudl.app, the Strudl applications, and any related services (together, the “Service”).

2. Acceptance of these Terms

By creating an account or otherwise using the Service, you confirm that you agree to these Terms, our Privacy Notice, and our Refund Policy. If you do not agree, you must stop using the Service. If you are accepting these Terms on behalf of a household or organization, you confirm you have authority to do so.

You must be of legal age in your jurisdiction to create a parent or tutor account. Student accounts are intended for use under the supervision of a parent or guardian who holds the household account.

3. Your account

You are responsible for keeping your login credentials confidential and for all activity that happens under your account. You agree to provide accurate information when signing up and to keep that information up to date.

4. Acceptable use

You agree not to use the Service to:

  • break any law or regulation, or infringe anyone else’s rights;
  • send spam, phish, or commit fraud;
  • upload malware, attempt to gain unauthorized access, or probe, scan, or test the security of the Service;
  • copy, scrape, or redistribute the Service, or attempt to reverse-engineer it;
  • resell the Service or use it to build a competing product.

5. Your content

You retain ownership of the content you put into the Service (student details, assignments, schedules, notes, etc.). You grant us a limited, non-exclusive licence to host, process, and display that content solely so we can provide the Service to you.

6. Our intellectual property

The Service — including the software, design, brand, copy, and documentation — is owned by PlanAheADD Technologies Inc. and protected by intellectual-property laws. We grant you a limited, non-exclusive, non-transferable right to use the Service in line with these Terms and your selected plan.

7. Payments, subscriptions, and taxes

Our order process is conducted by our online reseller Paddle.com. Paddle.com is the Merchant of Record for all our orders. Paddle provides all customer service inquiries and handles returns. By purchasing a paid plan, you also agree to Paddle’s Buyer Terms, which govern billing, taxes, payment methods, subscription renewals, and cancellations.

Subscriptions renew automatically at the price and interval shown at checkout until you cancel. You can manage or cancel your subscription at any time from your account billing page or by contacting Paddle.

9. Service availability

We work to keep the Service reliable, but we do not guarantee that it will be uninterrupted, error-free, or available at all times. We may release updates, change features, or take parts of the Service offline for maintenance, security, or compliance reasons.

10. Suspension and termination

We may suspend or terminate your access to the Service if you materially breach these Terms, fail to pay amounts owed, create a fraud or security risk, or repeatedly violate our acceptable use rules. You may close your account at any time from your account settings. When your account ends, we will delete your data on the schedule described in our Privacy Notice.

11. Disclaimers

Except to the extent required by law, the Service is provided “as is” and “as available”, without warranties of any kind, whether express or implied (including implied warranties of merchantability, fitness for a particular purpose, or non-infringement). Strudl does not provide medical, psychological, educational, or clinical advice; it is a planning tool and is not a substitute for professional assessment or care.

12. Limitation of liability

To the maximum extent permitted by law, PlanAheADD Technologies Inc. will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or goodwill. Our total aggregate liability for any claim arising out of or relating to the Service is limited to the amounts you paid us for the Service in the twelve months immediately preceding the event giving rise to the claim. Nothing in these Terms limits our liability for fraud, death, or personal injury caused by our negligence, or for any other liability that cannot be excluded under applicable law.

13. Indemnity

You agree to indemnify and hold PlanAheADD Technologies Inc. harmless from any claim or demand (including reasonable legal fees) arising out of your breach of these Terms, your content, or your unlawful use of the Service.

14. Changes to these Terms

We may update these Terms from time to time. If we make material changes, we will notify you by email or in the Service. Continued use after the changes take effect means you accept the updated Terms.

15. Governing law and disputes

These Terms are governed by the laws of the Province of New Brunswick and the federal laws of Canada applicable in it, without regard to conflict-of-laws rules. The courts located in Fredericton, New Brunswick will have exclusive jurisdiction over any dispute, except where local consumer-protection law gives you the right to bring a claim in your home jurisdiction.

16. Assignment and force majeure

You may not assign these Terms without our written consent. We may assign these Terms in connection with a merger, acquisition, reorganization, or sale of assets. Neither party will be liable for delays or failures caused by events beyond their reasonable control.
